END-USER LICENSE AGREEMENT (EULA) FOR TAKSHAK

IMPORTANT: PLEASE READ THIS END-USER LICENSE AGREEMENT ("AGREEMENT") CAREFULLY BEFORE DOWNLOADING, INSTALLING, ACTIVATING, OR USING THE TAKSHAK SOFTWARE APPLICATION ("SOFTWARE").
1. DEFINITIONS & LEGAL PARTIES
- "Licensor" ("Company", "we", "us", or "our"): Refers to TAKSHIQ SOFT LABS LLP, an entity registered and existing under the laws of India, having its registered base in Bengaluru, Karnataka, India.
- "Licensee" ("You" or "Your"): Refers to the individual or single legal entity executing this Agreement and utilizing the Software.
- "Software": Refers to the Takshak computer-aided manufacturing (CAM) desktop application, object code binaries, official builds, documentation, and any optional updates or patches provided by Licensor.
- "Serial Key" / "Activation Key": Refers to the unique cryptographic identifier issued to validate and activate a single installation of the Software.
- "Single Machine Environment": Refers to a single physical computer workstation and hardware environment.
- "Merchant of Record": Refers to Paddle (Paddle.com Market Ltd / Paddle Payments), the authorized third-party Merchant of Record handling billing, taxation, localized currency transactions, and license order processing.
2. ACCEPTANCE & LICENSE GRANT
2.1 Acceptance of Terms
By downloading, installing, activating, or running the Software, you explicitly acknowledge that you have read, understood, and agree to be legally bound by this Agreement. If you do not agree to these terms, do not download, install, activate, or use the Software.
2.2 Grant of License
Subject to your continuous compliance with this Agreement and payment of the applicable license fees via our authorized Merchant of Record, Licensor grants you a perpetual, non-exclusive, non-transferable, non-sublicensable, revocable (strictly subject to Section 7) limited license to install and execute the object code version of the Software on a Single Machine Environment.
2.3 Single-Machine Binding & Hardware Transfers
Each Serial Key entitles the Licensee to run the Software on exactly one (1) physical machine at any given time.
- Standard Hardware Transfer: You may migrate your active license from an existing computer to a replacement machine by using the official in-software deactivation workflow prior to reactivating on the new machine.
- Hardware Failure Policy: In the event of catastrophic, unrecoverable hardware failure (e.g., motherboard/CPU burnout preventing manual deactivation), you must contact
support@takshakcam.com. License reset requests under hardware failure scenarios are reviewed and authorized on a case-by-case basis.
3. RESTRICTIONS, COMPLIANCE & THIRD-PARTY CODE
3.1 Prohibited Actions & Anti-Piracy
Except as expressly permitted by this Agreement, you shall not:
- Share, distribute, rent, lease, sub-license, or assign a single Serial Key across multiple physical or virtual machine environments simultaneously.
- Reverse engineer, decompile, disassemble, modify, decrypt, or attempt to derive the source code of the Software binary executables — except to the extent that such an act (a) cannot lawfully be restricted under applicable law, or (b) is expressly permitted by the licence of a third-party component included in the Software, including where that licence permits reverse engineering for the purpose of debugging modifications to the component. Section 3.3 identifies those components.
- Bypass, spoof, clone, crack, or tamper with the hardware-binding validation mechanisms or licensing servers.
3.2 Export Control Compliance
The Software and related technical data are subject to the export control and economic sanctions laws of the Republic of India (including the Directorate General of Foreign Trade (DGFT) SCOMET regulations) and international trade embargoes. You represent and warrant that:
- You are not located in, organized under the laws of, or a resident of any country or territory subject to comprehensive government trade embargoes or sanctions by India, the United Nations, or our Merchant of Record.
- You will not use, transfer, or export the Software in violation of any applicable export control regulations, dual-use restrictions, or denied-parties lists.
3.3 Open-Source & Third-Party Software Disclosures
The Software incorporates third-party components, including open-source libraries, each of which remains subject to its own licence and whose copyright remains with its respective owners. A complete list of those components, the licence under which each is used, and the full text of every such licence, is provided in the file THIRD-PARTY-NOTICES.txt in the Takshak installation directory.
Certain of those components — notably the Qt framework (GNU LGPL v3) and OpenCASCADE Technology (GNU LGPL v2.1 with the OpenCASCADE exception) — are licensed under the GNU Lesser General Public License. Takshak is distributed as a directory of separate executable and shared-library files and is not statically linked against those libraries; you may therefore replace them with your own compatible builds by substituting the corresponding files in the installation directory. 4. LOCAL ARCHITECTURE & PRIVACY GUARANTEE
4.1 Local-Only Computation
Takshak is an on-premise, offline-first desktop application. All CAD geometries, 3D models, toolpaths, and generated G-code files are processed strictly locally and never uploaded or transmitted to Licensor’s servers.
4.2 No Usage Telemetry
The Software contains zero background usage tracking, zero behavioral telemetry, and zero silent automated crash-reporting mechanisms. The only automatic network activity is the periodic version check described in Section 4.3, which you may switch off.
4.3 Network Activity
The Software initiates network communication only for the following purposes:
- Licence activation and transfer. A one-time online validation when you first activate the Software on a machine, and the deactivation request you initiate when transferring your licence to another machine.
- Update checks. The Software determines whether a newer version is available in two ways:
- Automatically at startup — when the Software launches, and at most once in any twenty-four (24) hour period. This check runs quietly in the background, displays nothing unless a newer version exists, and may be switched off at any time via
Preferences -> General -> Updates. - Manually, whenever you select
Help -> Check for Updates. This remains available irrespective of the setting above.
- Automatically at startup — when the Software launches, and at most once in any twenty-four (24) hour period. This check runs quietly in the background, displays nothing unless a newer version exists, and may be switched off at any time via
An update check transmits your activation token, the installed version and build identifier of the Software, and your operating system platform, so that our server can determine which release, if any, applies to your licence.
- Update download. If you choose to install an available update, the installer is downloaded from our servers.
No CAD geometry, 3D models, project files, toolpaths, or generated G-code are transmitted at any time by any of the above.
5. DEVELOPER PROTECTION & INDUSTRIAL CAM DISCLAIMERS
5.1 Mandatory Toolpath & G-Code Verification
The Software is an engineering aid. The Licensee assumes absolute and sole responsibility for simulating, verifying, and dry-running all toolpaths, speeds, feeds, tool geometry, and generated CNC G-code against their specific physical machine setup, fixturing, tooling, and material stock before executing any real-world cutting operations.
5.2 Complete Disclaimer of Physical & Hardware Damages
To the maximum extent permitted by applicable law, Licensor disclaims any and all liability for:
- Physical factory or workshop damage;
- Mechanical collisions, spindle crashes, or machine tool breakage;
- Ruined raw materials or scrap workpiece stock;
- Personal injury or workplace accidents resulting from software computational errors, post-processor incompatibilities, or operator misconfigurations.
5.3 Third-Party NDA & Confidentiality Shield
Because Licensor possesses zero access or visibility into your local files, Licensor is completely exempt from and accepts zero liability regarding any Non-Disclosure Agreements (NDAs), trade secret claims, or intellectual property disputes between you and your clients, vendors, or third parties.
5.4 "As-Is" Warranty Disclaimer
The Software is provided strictly on an "AS-IS" and "AS-AVAILABLE" basis, without warranties of any kind, whether express, implied, statutory, or otherwise.
5.5 Waiver of Consequential & Indirect Damages
In no event shall Licensor be liable for any indirect, special, incidental, punitive, or consequential damages, including loss of production, factory downtime, lost profits, commercial disruption, or lost business data, even if advised of the possibility of such damages.
5.6 Financial Liability Cap
The aggregate, total financial liability of Takshiq Soft Labs LLP under this Agreement or arising from your use of the Software shall be strictly limited to the exact amount paid by you for the specific Software license.
6. SUPPORT & MAINTENANCE LIFECYCLE
- Software Updates: Your license purchase includes access to downloadable updates, bug fixes, and improvements for a period of two (2) years from the date of purchase.
- Extended Direct Support: Direct email support (
support@takshakcam.com) is provided for an additional three (3) years following the update window, providing a total of five (5) years of direct support from the purchase date. - Community Hub: Access to documentation, tutorials, and community discussion is available via
hub.takshakcam.com, subject to the Community Terms of Service.
7. TERMINATION & LICENSE REVOCATION
7.1 Revocation Triggers
Licensor reserves the right to immediately revoke your license if you:
- Refund: Request and obtain a refund under our Refund Policy. Deactivation of the licence is a condition of that refund, and the associated Serial Key is permanently revoked upon deactivation, in compliance with the laws of India and Paddle’s terms and conditions;
- Anti-Tampering: Attempt to crack, bypass, spoof, or tamper with the activation and hardware validation protocols;
- Multi-Device Misuse: Simultaneously deploy a single Serial Key across multiple unauthorized machine environments;
- IP Restrictions: Reverse engineer, decompile, or disassemble the binary executables;
- Payment Disputes: Initiate an unauthorized payment chargeback, fraud dispute, or failed payment settlement through our Merchant of Record (Paddle).
7.2 Effect of Revocation
Upon revocation, the corresponding Serial Key is permanently blacklisted on Licensor’s validation servers and can no longer be activated on any machine.
Where revocation follows a refund, deactivation of the licence is a condition of that refund (see the Refund Policy). Deactivation releases the machine on Licensor’s servers and removes the stored activation from that computer; from that moment the installation is unlicensed, will not run, and cannot obtain a new activation, the Serial Key having been blacklisted.
Where a licence is revoked without such a deactivation — for example following a payment chargeback, fraud dispute, or a breach of Section 7.1 — the Serial Key is blacklisted and the licence terminated with immediate effect. Any installation remaining on your machine is unlicensed from that moment, and you are required to cease all use of the Software and uninstall it.
8. GENERAL LEGAL PROVISIONS
8.1 Governing Law & Exclusive Jurisdiction
This Agreement shall be governed by, interpreted, and construed in accordance with the laws of the Republic of India. Any legal action, dispute, or proceeding arising directly or indirectly out of this Agreement shall be subject to the exclusive jurisdiction of the competent courts located in Bengaluru, Karnataka, India.
8.2 Severability
If any provision of this Agreement is held to be invalid, illegal, or unenforceable, the remaining provisions shall remain in full force and effect.
8.3 Entire Agreement
This Agreement constitutes the entire and exclusive agreement between you and Takshiq Soft Labs LLP regarding the Software, superseding all prior discussions, representations, or understandings.
8.4 Survival
Sections 3.1 (Restrictions), 3.2 (Export Control), 5 (Developer Protection & Disclaimers), 7.2 (Effect of Revocation), and 8 (General Legal Provisions) shall survive any expiration, termination, or revocation of this Agreement.
